XRP Treasury Company Evernorth Makes Major Move Before Nasdaq Listing, Here's What

  • Evernorth has agreed to issue $30 million of convertible notes that it plans to use partly for XRP acquisitions, adding fresh capital to its treasury strategy as the company approaches a shareholder vote on its proposed Nasdaq listing.

Evernorth Holdings is moving to expand its XRP treasury ahead of its planned combination with Armada Acquisition Corp. II, securing a new $30 million financing commitment that could give the company additional capital to acquire XRP and participate in the broader XRP ecosystem.

According to an SEC filing, Evernorth entered into a note purchase agreement on Sept. 11 for $30 million of 4% Convertible Senior PIK Notes due 2031. The notes were agreed to be issued to NH Investment & Securities Co. as trustee for a fund managed by Kyobo AIM Asset Management.

The financing has not yet been completed. The filing says the issuance and payment are conditioned on the closing of Evernorth's proposed business combination with Armada, which is expected during the fourth quarter of 2026.

That makes the transaction more accurately described as a $30 million financing commitment rather than $30 million of cash already sitting on Evernorth's balance sheet.

Evernorth Adds XRP Funding Ahead of September 30 Vote

The new financing gives Evernorth another potential source of capital for its XRP-focused treasury strategy. The company said in its filing that net proceeds of approximately $30 million, before transaction expenses, are intended for general corporate purposes, including the acquisition of XRP and other activities within the XRP ecosystem.

The notes carry a 4% annual PIK interest rate, meaning interest is added to the principal rather than paid periodically in cash. They mature in 2031 unless converted, redeemed, or repurchased earlier under their terms.

The securities are also convertible into Evernorth Class A common stock, cash, or a combination of the two at the holder's election after the applicable conversion period. The initial conversion price is approximately $10.20 per share.

The structure gives Evernorth additional capital while leaving the company with a future obligation tied to the notes. It also creates a potential source of share dilution if the notes are converted into equity.

The financing arrives as Evernorth moves closer to becoming a publicly traded XRP treasury company. The SEC declared Evernorth's Form S-4 registration statement effective in August, clearing a major procedural step in its proposed combination with Armada.

Armada shareholders are scheduled to vote on the transaction on Sept. 30. If shareholders approve the deal and the remaining closing conditions are satisfied, the combined company is expected to trade on Nasdaq under the XRPN ticker.

Why the $30M Financing Matters for Evernorth's XRP Strategy

Evernorth's strategy differs from a conventional corporate treasury that simply holds an asset. The company's earlier public disclosures show the scale of that strategy. Evernorth previously announced more than $1 billion in gross proceeds tied to its proposed public-market transaction, with proceeds intended primarily to support XRP purchases and other corporate purposes.

The additional $30 million is considerably smaller than that earlier capital pool, but it provides another potential source of funding for XRP purchases once the business combination closes.

The timing also places Evernorth within a broader expansion of corporate cryptocurrency treasury strategies. Companies have increasingly sought to build balance-sheet exposure to individual digital assets, creating a new category of publicly traded vehicles whose share prices can be influenced by both corporate fundamentals and the underlying cryptocurrency.

For XRP specifically, Evernorth's planned listing could give traditional-market investors another way to gain indirect exposure to the token without directly holding XRP.
